These terms are the agreement between you and Verge Inc., a California corporation, for the use of Avalon at avalonhq.com. Avalon is a product of Verge Inc. By creating an account or using the service you accept these terms. If you are agreeing on behalf of a company, you confirm you may bind it.
Avalon is a marketing hub. You create companies and projects, write and schedule social posts, connect your own social accounts so we can publish on your behalf, generate copy and poster images with AI, build landing pages and blog posts, and send email and messages to contacts you manage.
You keep all rights to the companies, projects, posts, images and contacts you put into Avalon. You grant us only the licence we need to run the service: to store your content, process it for the features you use, and transmit it to the platforms and providers you direct us to. That licence ends when you delete the content or close your account.
You confirm you have the rights to everything you upload, including images, logos and anything a third party created.
When you connect an account, you authorise Avalon to publish the posts you schedule to it. You remain bound by that platform's own terms — LinkedIn, X, Meta and TikTok each have rules about automation, content and frequency, and breaking them is between you and them. You can disconnect at any time, from inside Avalon or from the platform.
Publishing depends on those platforms. Their APIs change, rate-limit, reject content and go down. We cannot guarantee a post will publish, and we are not liable for a platform refusing, delaying, removing or penalising your content.
AI drafts and images are suggestions, not finished work. They can be wrong, generic, or unintentionally similar to something else. You are responsible for reviewing anything AI produces before it is published, including its accuracy, its claims, and whether you are entitled to use it. We make no warranty about ownership or originality of generated output.
If you use Avalon to contact people, you are the sender. You must have a lawful basis to message them, identify yourself honestly, honour unsubscribe and opt-out requests promptly, and follow the rules that apply to you — GDPR, PECR, CAN-SPAM, TCPA and their equivalents. We may suspend sending if we receive credible reports of abuse.
Don't use Avalon to send spam or bulk unsolicited messages; to publish unlawful, hateful, harassing, deceptive or infringing content; to impersonate anyone; to break a platform's terms or scrape it; to probe, overload or interfere with the service; or to resell it without our agreement. We may suspend or close accounts that do.
We work to keep Avalon running but offer no uptime guarantee. We may change, suspend or withdraw features, and will give reasonable notice of significant changes where we can. Maintenance, third-party outages and scheduled sweeps can all delay publishing.
Where a paid plan applies, the price, billing period and renewal terms are shown at purchase. Fees are payable in advance and, except where the law requires otherwise, are non-refundable. We'll give notice before changing the price of an existing plan.
You can stop using Avalon and ask us to close your account at any time — see Delete your data. We may suspend or close an account that breaches these terms, or where required by law. On closure your content is deleted; anything already published to a social platform remains there, since it lives on that platform.
Avalon is provided "as is" and "as available", without warranties of any kind to the extent the law allows. We are not liable for indirect or consequential loss, lost profits, lost business, or lost or unpublished content. Where liability cannot be excluded, it is limited to the fees you paid us in the twelve months before the claim. Nothing here limits liability for death or personal injury caused by negligence, or for fraud.
You agree to cover us against claims arising from content you publish through Avalon, messages you send, or your breach of these terms or of a platform's rules.
We may update these terms; the date above shows when. Material changes will be notified by email or in the app, and continuing to use Avalon after they take effect means you accept them.
These terms are governed by the laws of the State of California and the federal laws of the United States that apply there, without regard to conflict-of-law rules. The state and federal courts located in California have exclusive jurisdiction, unless mandatory law in your country of residence gives you the right to bring proceedings elsewhere.
Questions about these terms: [email protected], or write to Verge Inc., 39111 Paseo Padre Pkwy, Suite 202, Fremont, CA 94538, USA.
These terms describe how Avalon actually works today. They are not legal advice, and the governing-law and liability clauses in particular should be reviewed by your counsel — and matched to the entity that will actually contract with customers — before you take payment or go to general availability.
